Your Philippines product registration is under the importer’s name. What happens when you need to change importers?

Published:
When a Philippines CPR is held in the importer’s name, changing importers requires the former certificate holder to provide a termination agreement or deed of assignment. A cosmetics CPN needs a new notification when the distribution company changes. We set out the FDA-required transfer documents, the situations that mean starting over, and five points to put in an agency agreement from day one.

Short answer: When a Philippines CPR is held in the importer’s name, changing importers requires the former importer to provide a termination agreement or deed of assignment. Changing the distribution company for a cosmetics CPN requires a new notification. Discuss these points on the first day of contracting.
Scenario: a certificate issued three years ago now needs to move with a new importer
This is a hypothetical scenario, not a story about a specific client.
Your brand makes Taiwan handmade biscuits and a hand cream. You entered the Philippines three years ago through a Manila importer. The importer filed the CPR for the biscuits and the CPN for the hand cream; you only supplied the documents. Sales have been mediocre for those three years. This year, another importer with larger channels approaches you with better terms.
You want to change importers. The first question from the new importer is: “Can the old certificates be transferred to us, or do we need to start over?” You find the agency agreement from that time. It covers price, term, and exclusivity, but does not mention certificates at all. You then realize that neither certificate has ever been in your name, and that the person you are about to leave appears to decide whether to cooperate with the transfer.
This article sets out the Philippine FDA’s rules for changing parties and what the agreement should say before you reach this point.
How certificates move when the party changes: five situations
When a Taiwan brand does not have a Philippines company, a local company holding an LTO applies for a food CPR 2, and only a company registered to operate in the Philippines may file a cosmetics notification 3. In the FDA’s view, a change of party is therefore a change to the company holding the certificate. The route differs according to the change:
| What you need to do | How to handle the food CPR | Documents to attach | Does the former certificate holder need to cooperate? |
|---|---|---|---|
| The product is unchanged; only the importer or distributor changes | File a variation application 12 | A termination agreement or deed of assignment, the new importer’s agreement or appointment letter, and an updated label 12 | Yes. The termination agreement or deed of assignment must involve the former holder |
| Transfer ownership of a registered product to a new company | Transfer ownership. The product cannot have a change requiring new registration, and the new company needs a valid LTO 1 | A transfer agreement between the former and new holders, plus the label 12 | Yes. Both parties sign the agreement |
| The new importer files under its own new account | It is still a variation, but all initial-application documents must be uploaded 2 | The documents in the preceding row, plus the full initial-application set 2 | Yes |
| Change the contract manufacturer or formula while changing parties | It is treated as an initial registration, so it is effectively a new application 1 | Full initial-application set | No, but the timeline starts over |
| The product was registered in the old system | Renewal and variation must be refiled as an initial application in the new eServices system 5 | Full initial-application set | Depends on whether you pursue a variation or start over |
Cosmetics are simpler and stricter. The official ASEAN Cosmetic Directive FAQ states that a change of company because distribution rights changed requires a new notification, not a modification 3. The new notification is filed by the new company under its own LTO, and official fees start at Php 500 per year 4.
Fees are not the main issue: a food CPR variation costs Php 200 plus a 1% legal research fund fee, and the official processing time is 20 working days 2. The real cost is the paper that the former company must sign, and the time to start over if the parties cannot agree.
Why one document from the former importer matters so much
In the table above, whether you use a food CPR variation or a transfer of ownership, you must attach a document involving the former certificate holder: a termination agreement, deed of assignment, or agreement between the former and new holders 12. The FDA rules do not resolve the situation where the other party refuses to sign.
The following is an inference from the document requirements: if the other party does not cooperate, the practical route left to you is for the new importer to apply for a new registration in its own name. This is not a conclusion expressly written in the regulations; it follows from every transfer route requiring the other party’s documentation. Consult a local lawyer when this occurs.
There is one useful card for the brand owner. When a new importer applies for a variation or adds a supply source, it must attach an appointment letter, agency agreement, or distribution certificate from the supplier 2. A brand-name change also requires authorization from the brand owner 2. In other words, the new importer likewise needs documents from you to take over. In a contract negotiation, that is leverage to exchange terms with the former importer.
Five points to include on the first day of an agency agreement
- Who owns the registration materials. After registration is complete, the brand owner keeps copies of the CPR certificate, filing documents, approved labels, and test reports.
- Duty to cooperate on termination. Once the agreement ends, the other party signs a termination agreement or deed of assignment within the agreed number of days and cooperates in transferring it to a new company designated by the brand owner 12.
- Who pays the fees. State clearly who bears official and agency fees for transfer and new registration.
- Term and scope of the appointment letter. The appointment letter you issue specifies the term, products, and territory, and becomes ineffective on expiry or termination 2.
- Cosmetics materials can be handed over. A change of company requires a new notification 3, so the agreement should provide that formula, ingredient, and label data belong to the brand owner and can go directly to the next company.
Our Consignment package is one way of addressing these five points in advance: a partner importer holding the relevant certificate handles and holds the registration, and the materials belong to you. The contract requires the importer to cooperate with the transfer, so you do not start from scratch; the FDA transfer or re-notification procedure still applies. It is not the only solution, but it is much easier than opening the agreement only on the day a partnership breaks down.
When we do not recommend following this article
- The certificates have not been filed yet, and you are not even clear on the difference among the three documents. Read the difference between the Philippine FDA’s LTO, CPR, and CPN first, then return to transfer.
- You and the former importer have already fallen out, and it has said it will not sign. You need a local lawyer at this point, not a checklist.
- You already plan to change the formula or contract manufacturer. The FDA treats that as a new registration 1; transfer is no longer the main issue, so have the new importer apply directly.
- You do not yet know whether anyone in the Philippines will buy. It is not worth being tied to someone for three years over a certificate. Start with a Market Test for NT$10,000–NT$20,000; you can stop after it is complete.
Frequently asked questions
Can a Philippines CPR be transferred to a new importer? Yes, through a variation or transfer-of-ownership application. The product must have no change requiring new registration, the new company must hold a valid LTO, and you must provide a termination agreement, deed of assignment, or transfer agreement involving the former certificate holder 12. A change of contract manufacturer or formula is treated as a new registration.
If the former agent refuses to sign, does the certificate become invalid? No. The certificate does not become invalid; it remains under the former company’s name. But transfers require documents involving the former certificate holder 12. If the other party does not cooperate, the practical option is for the new importer to apply for a new registration in its own name. This is an inference from the rules; consult a local lawyer about individual cases.
Does changing cosmetics distributors require a new CPN notification? Yes. The official ASEAN Cosmetic Directive FAQ states that changing the company because distribution rights changed is a new notification 3, filed by the new company under its own LTO 4. It is therefore best for the agreement to state that formula, ingredient, and label materials belong to the brand owner.
One small next step
Open your agreement with the Philippines importer and look for three English words: registration, termination, assignment. If you can find all three and the agreement explains how certificates are handled after termination, you are safer than most brands. The missing one is the clause to add at the next renewal. If you cannot understand what the clause says, message us (LINE or email).
Based on practical experience; not legal advice. For contract or transfer disputes, consult a lawyer in the Philippines. Last verified: October 1, 2026. The Philippine FDA registration system is changing, so check the FDA’s current notices before filing.
